Terms of use

These terms govern the use of Foundation Collab by parent foundations, their member organizations, and individual users. Plain-English summary first; the legal version below.

The deal, in plain English

You give your team and partners a place to work together. We give you the place. We keep the place safe, isolated from other tenants, and accessible. You don't break it for other people; we don't surprise you with changes that hurt.

Acceptable use

Don't upload illegal material. Don't use the platform to harass, dox, or impersonate. Don't try to circumvent tenant isolation, rate limits, or audit logging. Don't reverse-engineer our service to build a competing product.

Your content

You retain all rights to the content you create. You grant Foundation Collab a non-exclusive, royalty-free license to host, display, and distribute it solely so we can run the platform on your behalf. We don't train AI models on your content.

Service level

Growth and Enterprise tiers come with a 99.9% uptime commitment, measured monthly (excluding planned maintenance windows announced 72 hours in advance). Starter is provided as-is.

Term + termination

Either party may terminate for convenience on 30 days' written notice. Either party may terminate for material breach uncured for 14 days after written notice. On termination, the controller may export all of their tenant's data within 30 days; we delete it from active systems within an additional 30 days; backups age out per our DPA.

Liability

Foundation Collab's aggregate liability under these terms is capped at the fees paid by the customer in the 12 months preceding the claim. Neither party is liable for indirect or consequential damages. Nothing in these terms limits liability for intentional misconduct or willful violations of applicable law.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The exclusive forum is the state and federal courts located in Wilmington, Delaware.
